BlueRock Terms of Use

These Terms of Use (the “Terms”) govern access to and use of the websites, platforms, applications, and related services operated by BlueRock Security Inc. (“BlueRock,” “we,” “our,” or “us”) (collectively, the “Services”). By accessing or using the Services, you (“you,” “your,” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Use of the Services is also subject to BlueRock’s Privacy Policy, which is incorporated herein by reference.

1. Eligibility

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that entity, and “you” shall refer to that entity.

2. The Services

BlueRock provides technology solutions designed to support cybersecurity, trust, and risk-management workflows (the “Services”). BlueRock reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Account Registration and Security

Certain features of the Services may require you to create an account. You agree to:

(a) provide accurate and complete information;

(b) maintain the confidentiality of your login credentials; and

(c) promptly update your information as necessary.

You are solely responsible for all activities that occur under your account. You agree to notify BlueRock immediately of any unauthorized access or use.

4. License and Acceptable Use

Subject to your compliance with these Terms, BlueRock grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful internal business purposes.

You agree not to, and shall not permit any third party to:

• Access or use the Services for any illegal or unauthorized purpose;

• Interfere with the functionality, security, or operation of the Services;

• Attempt to gain unauthorized access to the Services, other accounts, or BlueRock systems;

• Reverse engineer, decompile, or disassemble any portion of the Services;

• Use automated means (e.g., bots, scripts, scrapers) to access or extract data;

• Submit or transmit harmful code, malware, or infringing, defamatory, or unlawful content.

  
  

BlueRock may suspend or terminate your access for any violation of this Section.

5. Intellectual Property

All content, text, software, graphics, logos, trademarks, service marks, and other materials made available through the Services (collectively, “BlueRock Materials”) are owned by BlueRock or its licensors and are protected by intellectual property laws.

Except as expressly permitted, you may not:

• Copy, modify, distribute, or create derivative works of the BlueRock Materials;

• Remove or alter any copyright, trademark, or proprietary notices;

• Use BlueRock’s name, marks, or branding without prior written consent.

  
  

All rights not expressly granted herein are reserved by BlueRock.

6. Fees and Payment (If Applicable)

If you subscribe to any paid Services, you agree to pay all fees described at the time of purchase or in a separate written agreement. Unless otherwise stated, all fees are non-refundable.

BlueRock may suspend or terminate access to the paid Services for failure to pay any applicable fees.

7. Third-Party Services

The Services may contain links to or integrations with third-party websites, applications, or services (“Third-Party Services”). BlueRock does not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is governed by the terms and policies of those third parties.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL BLUEROCK MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

BLUEROCK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

BLUE ROCK DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BLUEROCK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

IN NO EVENT SHALL BLUEROCK’S TOTAL LIABILITY EXCEED THE GREATER OF:

(a) THE AMOUNT PAID BY YOU TO BLUEROCK IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY; OR

(b) ONE HUNDRED U.S. DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; IN SUCH CASES, THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED.

10. Indemnification

You agree to indemnify, defend, and hold harmless BlueRock and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) your use of the Services;

(b) your violation of these Terms; or

(c) your violation of any applicable laws or rights of another party.

11. Termination

BlueRock may suspend or terminate your access to the Services at any time, with or without cause or advance notice. Upon termination, your right to use the Services will immediately cease.

Sections of these Terms that, by their nature, survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law), shall survive.

12. Modifications to the Terms

BlueRock may revise these Terms at any time. Material changes will be indicated by updating the “Last Updated” date above. Your continued use of the Services after such changes constitute acceptance of the revised Terms.

13. Governing Law and Venue

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict-of-law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Mateo County, California, and you hereby consent to the jurisdiction and venue of such courts.
